This "Fundamentals Of Real Estate Closings" seminar will provide a fast-paced overview of the process and elements of commercial real estate closings in California.
The purpose of the seminar is to provide a fast-paced overview of the process and elements of commercial real estate closings in California. The emphasis will be on practical tips and traps, based on the good, and not-so-good, closing experiences of the faculty members.
Mr. Hodell, Mr. Moore and Mr. Di Giusto collectively have more than 50 years of experience closing commercial deals, and in the last two years, they have closed more than 40 commercial real estate transactions with prices ranging from $500,000 to $800 million. Ms. Weaver has managed commercial escrows for over 35 years and is one of the preeminent commercial escrow officers in northern California. Together, the faculty members bring to the seminar significant, practical experience learned at the closing table.
Douglas M. Hodell is a shareholder in the Sacramento, California, law firm of Boutin Dentino Gibson Di Giusto Hodell Inc. He has been closing commercial real estate deals for 20 years. He graduated from Stanford University, received an M.A. degree in theology from Fuller Theological Seminary, and received his J.D. degree from the University of California, Davis School of Law. He is a member of the Order of the Coif. Mr. Hodell focuses on complex real estate deals, and in particular, the acquisition and disposition of master planned communities. He represents the developer of the awardwinning 4,800 acre Mountain House new town" project in San Joaquin County, the developer of the 20,000 acre Estrella Mountain Ranch project in Phoenix, and has closed deals for the developers of several projects in the greater Sacramento region, including Spring Lake, Lincoln Crossing and Sterling Pointe. He has also negotiated and closed transactions for the acquisition or disposition of a ski resort, a hydroelectric project, raw land, office projects, retail centers, development projects, an island in the Sacramento Delta and a variety of other real estate based projects. Mr. Hodell has also closed a variety of real estate secured loans, mixed collateral financings, and loan portfolio sales and acquisitions. He sold real estate for 10 years and still holds a California Real Estate Brokers license.
James R. Moore is a shareholder in Boutin Dentino and concentrates in commercial real estate transactions. Mr. Moore graduated from Stanford University and received his J.D. degree from University of Pacific, McGeorge School of Law. He is a member of the Order of the Coif and was the editor in chief of the Transnational Lawyer. Mr. Moore represents a national REIT and manages closing, title and survey matters for commercial transactions around the country. In the last 12 months, he negotiated and closed a deedin-lieu" transfer of an office project to a commercial lender; orchestrated a complex, multi-stage industrial/commercial foreclosure of a paper mill and related real property holdings; and closed numerous commercial real property transactions, including seven successive takedowns under two rolling option transactions.
John E. Di Giusto is the managing shareholder at Boutin Dentino and has been closing deals and giving tax advice for over 20 years. Mr. Di Giusto graduated from California State University, Sacramento, and received his J.D. degree from the University of California, Davis School of Law. He also holds an LL.M. degree in business and taxation from the University of the Pacific, McGeorge School of Law, and is a certified public accountant. Mr. Di Giusto teaches extensively and has lectured in the areas of tax-deferred exchanges and partnership taxation. He also authored portions of CEBs Advising California Partnerships.
Sue Weaver is a commercial escrow officer and vice president of Placer Title Company and the branch manager of the Roseville, California, office. She has 35 years of experience in the escrow business and has been with Placer Title for more than 15 years. In 2004, Ms. Weaver closed over $1.7 billion in commercial transactions. She has played a key role in the development of the Sacramento Downtown Railyard project and the development of West Roseville. Placer Title Company provides escrow, title and related services through its offices in 14 northern California counties and three states.
