POPULUS SYSTEMS AND ARRAY VISION ENGINEERING / MANGESIUS, INC. ANNOUNCE ALLIANCE TO MARKET A PIONEERING CHRONIC DISEASE MANAGEMENT SYSTEM

February 10, 2000: St. Petersburg, Florida, and Gainesville, Florida.

Populus Systems, Inc. (Populus) and Array Vision Engineering, Inc. / Mangesius (Mangesius) announce the formation of Zygote Health Technologies, Inc., a Florida Corporation. The company will seek investment funding to complete software programming and market the Zygote Interactive Health Management System, a suite of expert clinical software modules based on a revolutionary patent-pending technology. This pioneering product is designed to help physicians optimize clinical outcomes and reduce time spent on management-intensive diseases. Emphasis will be on the proactive management of diabetes, peritoneal dialysis, kidney disease and cardiac care. The product is expected to be available beginning on the third quarter of the year 2000, and will be sold to physician practices as an extension of Populus Systems' own Zygote Medical Practice System and as a stand-alone product to both physicians and patients.

The product is based on a set of computerized diet, exercise, and insulin prescription tools that also make proactive control of chronic health problems possible, while improving wellness status in health or when suffering from management-intensive diseases such as diabetes. The proof-of-concept was obtained following a unique clinical protocol performed with human subjects at Duke University Clinical Research Center (funded by a grant from the National Institute of Health: The National Institute of Diabetes and Digestive and Kidney Diseases).

The Zygote Interactive Health Management System is a key part of the two companies vision for one-stop physician practice data handling products that integrate practice management, patient management, and clinical management. It will be built around Mangesius' Web-based software for personalized contemporaneous metabolic control in diabetes that can generate real time predictions usable for proactive, preventative control. Mangesius appears to be the first to have implemented a practical solution to this problem, based on a unique nutritional database and other cutting-edge technologies.

Aurel Porumbescu, President of Mangesius, said, "Ultimately most of what we eat or drink is converted to blood glucose, the fuel of life. Yet the current gold standards for measuring nutritional intake are still the calorie and carbohydrate counting methods, which are notoriously inadequate. This leads to difficulties in controlling weight and, in diabetes, may cause inability to properly control blood glucose levels. Physician practices and patients using the Zygote Medical Practice System will gain seamless access to our proprietary software product: the first nutritional database to associate a time-dependent glucose availability profile to each item in the database. This is the world's most advanced nutritional database for improved control of obesity and diabetes, because it allows users to custom-build their menus so that glucose availability matches their energy needs throughout the day. With no excess nutrients to be stored by the body during the day, this method is expected to reduce fat deposits."

Andrew Manzini, CEO of Populus Systems, added: "Basically, you would build your menu from the items in the database, and the software would return a color coded message regarding WHEN that meal is likely to give you the most energy. Keeping in mind that the excess over the energy you spend gets stored and eventually converts to fat, you then can use the knowledge to exercise, change the menu composition and/or quantities, plan your insulin shots in advance, etc. The point is, you would gain a much better understanding about how to control your nutritional intake in the context of your life style. The diabetes module will integrate for the health care provider specific time-related variables in an expert software for prescribing the optimal insulin regimen in diabetes. This personal system helps track, manage, and interpret the subject's health history, and offers answers to both patient and provider. Minimally, the system will maintain comprehensive, cumulative, correct, and coherent medical records, accessible in a timely manner, while also giving the practitioner a set of tools to easily refine prescription regimens, assess patient compliance, follow disease trends, and decide on any additional testing."
