iLearning Expands Product Set by Acquiring Caliber Learning Systems

iLearning, Inc., has acquired the assets Caliber Learning Systems, Inc., from Sylvan Learning Systems. In October, the bankrupt Caliber sold its assets to Sylvan (NASDAQ:SLVN), which owned a 34 percent stake in the web-based training company, for $750,000. The financial terms of Tuesday's deal were not disclosed.

Jan. 8, 2002 -- (Baltimore)- iLearning, Inc., a premiere provider of web-based training and communication solutions, announced today the acquisition from Sylvan Learning Systems, Inc. of the assets of Caliber Learning Network, Inc.

The addition of Calibers award-winning technology enables us to offer a web event broadcast solution that fully integrates studio origination, event management and desktop delivery technologies with professional services to deliver high impact, just-in-time content to globally dispersed, Internet-connected audiences," says iLearnings CEO, Allen Tait.

The acquisition includes certain of Calibers client relationships, intellectual property, software and equipment. The Caliber assets round out iLearnings comprehensive set of training and communications solutions," Tait adds.

iLearning will also retain a select group of former Caliber employees including Kevin Thibodeau, who joined Caliber in 1998 as a corporate officer and member of the executive management team. Thibodeau led Caliber's strategic marketing and content development activities as well as conducting executive business development and corporate mergers and acquisition functions. With iLearnings acquisition of Caliber, he has been named as iLearnings Executive Vice President of Sales.

On the merger of the two organizations, Thibodeau said, Corporations and government agencies now depend on a single source for portal technology, web-based courseware development, web event broadcasting and content management. Our combined expertise in the development and delivery of both synchronous events and asynchronous courseware -- paired with the accessibility of a robust training portal and content management system -- is a key differentiator for iLearning and compelling to our customers."

IDC estimates that the market for eLearning and communication services will grow to $23 billion by 2004, with an annual compound annual growth rate (CAGR) of 97% in Europe and 69% worldwide representing tremendous growth opportunity. iLearning is strategically positioned to take advantage of that growth with solutions that bring streaming audio and video content to any desktop with a 28.8 modem.
