BusinessWay Announces Completion Of Due Diligence with Pourslo International Development Inc., a biomass renewable energy corporation.

Completion Of Due Diligence.

MONTREAL, Québec - May 23, 2002- BusinessWay International Corporation (OTCBB:BITL),
today announced the completion of due diligence as per previously announced letter of intent signed with Pourslo International Development Inc. and a minor amendment to the terms of the transaction.

Under the terms of the letter of intent, BusinessWay will form a new power corporation subsidiary
that will acquire the rights, new contracts, Power Plant Technology know-how as well as the present key personnel of Pourslo International Development Inc.

The Board of Directors of BusinessWay and Pourslo have approved the transaction. The transaction is subject to the execution of a definitive agreement and any regulatory approvals.
Both companies intend to close the transaction by the end of May 2002.

Fabrice Zambito, Chairman of BusinessWay said , We are very excited about this business opportunity and we are convinced that the experience and the know how of Pourslo will bring tremendous value to our shareholders. With an estimated 14,000 MW of annual worldwide installed electric power plants generation capacity, biomass power is the largest source of non-hydro renewable electricity in the world. This multi-BILLION dollar industry is growing exponentially and we are extremely pleased to be able to partner with an internationally respected company like Pourslo" Zambito added.

Mr. Simo Lakmiri, President of Pourslo stated, Our approach and process serves two purpose, one is our clean burn projects actually create less than 3 % of ash as compared to 30% generated by some others in the industry. The ash generated by our process is so environmentally friendly that we resell the ash as a plant fertiliser."

The landfill gases have negative effects on the ozone. Our clean burn process is good for the environment as it captures all the methane gases that would normally be expelled into the atmosphere and converts these harmful ozone destroying gases into the environmentally friendly carbon monoxide which is known to be 20 times better for the environment. than methane" added Lakmiri.

Our 25 years of international engineering expertise in the field and worldly travels have given our team much due recognition. Many government officials and engineers that have participated in the test and demonstrations of our technological approach always yielded exceptional results."

Lakmiri stated The clean burn process allows us to generate steam which in turn generates electrical power for sale."

Mr. Lakmiri added, This transaction will allow us to significantly accelerate the implementation of our projects. Our power plant projects goal is to conclude several agreements that will generate substantial revenue for BusinessWays new electric power subsidiary."
