CytoGenix, Inc. Shareholders Elect New Directors
Houston, TX (June 11, 2002) CytoGenix, Inc. (OTCBB:CYGX) is pleased to announce that during the Companys annual shareholders meeting held in Houston, Texas on May 31, 2002, the shareholders of CytoGenix, Inc., elected a new Board of Directors by a vote of 37,896,563, for; 1,009,638, against; and 70,583, abstentions. The shareholders ratified the firm of Thomas Leger & Co. L.L.P. as the Companys independent auditors for the fiscal year ended December 31, 2002, by a vote of 38,694,489, for; 22,000, against; and 11,733, abstentions. There are a total of 56,733,563 common shares issued and outstanding.

Newly-elected directors are Dr. Scott E. Parazynski, a physician-astronaut and Mr. Frank Vazquez, a biotechnology entrepreneur and consultant. Continuing as directors are Dr. Malcolm H. Skolnick, Chairman of the Board, President and CEO, Mr. Lawrence Wunderlich, Chief Financial Officer and Mr. Michael Walters a licensed physical therapist in private practice for 43 years.

About the new Directors...

Scott E. Parazynski, M.D., has been an astronaut since 1992 and has logged over 262 hours in space. He first flew in 1994 on the Atmospheric Laboratory for Applications and Science (ATLAS-3) mission, which was part of an on-going program to determine the Earth's energy balance and atmospheric change over an 11-year solar cycle. He has published articles in the field of space physiology and human adaptation to stressful environments and has received numerous special honors, including the National Institutes of Health Predoctoral Training Award in Cancer Biology, NASA Graduate Student Researchers Award and Research Honors Award from Stanford Medical School. Dr. Parazynski is a graduate of Stanford University and Stanford Medical School and pursued clinical training at the Brigham and Women's Hospital (Boston, MA) and emergency medicine residency training in Denver, CO.

Frank Vazquez is a consultant and entrepreneur specializing in life science start-up enterprises. He founded and was President/CEO of Lark Technologies, Inc. from 1989 to 1991 and Vice Chairman from 1991 to1999 and the founding President/CEO of Medical Metrics, Inc. from 2000 to 2001. For the past 13 years, Mr. Vazquez has been engaged by BCMT, Inc. the commercialization subsidiary of Baylor College of Medicine, the University of Texas Health Science Center-Houston and individual clients to organize and start new medical and biotechnology companies in Houston. Mr. Vazquez previously held management positions with CooperVision, Inc., Booz Allen and Hamilton, Inc., ITT Corporation and IBM Corporation. He holds a B.S. in Economics from Columbia University.
