Indus and Yao De Join Forces to Market EAM Solutions in China

Localized Version of Indus Solution Offers Increased Efficiencies
and Competitiveness to Companies in Emerging Chinese Market

ATLANTA, December 11, 2002 -- Indus International Inc. (NASDAQ: IINT), the leading global supplier of enterprise asset management software and services , today announced a master software distribution agreement with Yao De Computer Software Co., Ltd., the operational arm of A3 Systems Limited of Hong Kong. Based in Shanghai, Yao De will market, sell, service and support Indus products in the Peoples Republic of China (excluding Hong Kong, Taiwan and Macau) in order to provide Indus with coverage of the significant and emerging EAM market in this country. The company will also produce and maintain a localized version of Indus EMPAC, one of Indus Internationals premier solutions for enterprise asset management.

The software market in the Peoples Republic of China is growing at an astounding rate, with expected growth of 30 percent over the next two years, and is expected to intensify with Chinas inclusion in the world economic community. China became a member of the World Trade Organization in December 2001. Most of this growth is coming from application software as companies seek to increase efficiencies and become more competitive.

We at Yao De see a tremendous opportunity for us and our customers in Indus International software," said Alan Lau, CEO of Yao De. Indus EMPAC is a good fit for our focused industries, such as power transmission and distribution, oil and gas, petrochemical and process manufacturing industries. And, its multilingual capabilities will facilitate our localization and our sales efforts. By distributing Indus software to our customers, we feel that we can increase the competitiveness of our company and that of our customers."
We are very pleased to sign this agreement with Yao De, an experienced and respected distributor and IT service provider, to increase our presence in China," said Tom Madison, chairman and CEO of Indus International. China is a growth market for Indus, and we see significant opportunity there. We have had a great deal of success in partnering with leading companies to market our solutions in the Asia-Pacific region, particularly in Japan where utilities are just beginning to deregulate. By joining with a company with the resources and expertise of Yao De, I feel confident we can also build a leading position in China and strengthen our leading share of the global EAM software and services market."

Yao De offers numerous capabilities in the China area, which helped to cement the agreement. The company does more than resell foreign software companies applications. It bridges the gap between foreign software vendors and local channel partners (e.g. ISVs, resellers, etc.) to leverage their industry know-how and relationship. Yao De also adds significant value through the establishment of Technical Centers of Excellence, development of specific IP addresses, localization and customization of applications and project management support and supervision.

Indus has looked long and hard to find the best partner to increase our presence in the Chinese market, and we have chosen Yao De as our master distributor," said Peter Wirth, Asia-Pacific regional director for Indus. With their resources, connections and focus in the EAM industry, as well as their track record of success, Im certain Yao De will help drive Indus International to the top of the Chinese EAM market."
