WILL YOUR PUBLIC COMPANY BE DRAGGED INTO A LAST MINUTE COMPLIANCE FIASCO?
On January 9, 2003 the SEC issued proposed rules that would prohibit the listing of any security of any issuer that does not comply with the new audit committee requirements regarding Auditor Engagement and Reporting, Audit Committee Member Independence, Employee/Outsider "Whistleblower" Protection Policy implementation and Engagement of Outside Legal Counsel/Advisors and the Company's Duty to Pay for such costs. In final form, these rules will be effective by April 26, 2003, so there isnt much time left for companies and their boards to implement or review their plan for compliance.
