Universal Guardian Holdings, Inc. Announces Chief Financial Officer Appointment
CARLSBAD, Calif. - Feb. 27, 2003 - Universal Guardian Holdings, Inc. (OTCBB: UGHO), today announced the appointment of Mr. Richard (Rick) Fields to the position of Chief Financial Officer. Mr. Fields brings over 22 years experience in financial leadership and United States government contract consultation to the companys executive management team.

Prior to joining Universal Guardian, Mr. Fields served as CFO for several first- and second-stage software development and energy services companies, where he was responsible for corporate financial reporting and economic forecasting.

Preceding his ongoing public industry tenure, he served 14 years as a director for the Financial Advisory Services and Government Contractor Consulting Group at PricewaterhouseCoopers. There, Mr. Fields was accountable for assisting Fortune 500 clients with the interpretation and application of Government procurement regulations, development of business processes and systems for compliance, resolution of Government contractual disputes and commercial litigation support in both domestic and international cases. Mr. Fields further served as an auditor at the Defense Contract Audit Agency, where he was responsible for numerous government contractor audits.

Mr. Fields was a deputy sheriff for 8 years with the San Diego County Sheriffs Office, and additionally served 10 years as an active duty Counter-Intelligence Specialist in the US Marine Corps, including a 1-year tour in Vietnam and 8 years in the active reserves.
