Summit National Consolidation Group, Inc. (PinkSheets: SMNC) announced an emergency shareholder meeting on August 15, 2002. In accordance with Summit National bylaws and rule 228 of the Delaware State Corporation Division, the shareholders of 51% of the company signed a waiver of notice.
For the meeting, Mario Quenneville presented proxies totaling more than 65% of the company's outstanding shares, in addition to written proxies from Optima Ventures equaling 25% of the outstanding shares. With a majority of the outstanding voting shares of the company present, thus constituting a quorum, Mr. Quenneville acted as Chairman to call the meeting to order.
The acting Chairman conducted the business of removing past officers and directors, electing new directors, and appointing new officers. Individuals dismissed from the board of directors included former Chairman Walter Davis, Vincent Alexander, Beatrice Beasley, Jesse Funchess, Daniel Kirshbaum, Esq.. and Lamont Waddell. Additionally, Mr.. Davis was relieved of his position as President and CEO.
SMNC is pleased to announce Mario Quenneville, founder and CEO of Summit National's wholly owned subsidiary Interlabs, Inc., as the duly elected Chairman of the Board of Directors as well as President and CEO of Summit National. Also in attendance, Michael Ciaramello, Frank Ciaramello and Laurie Quenneville, were elected to serve as directors. The board also appointed Michael Ciaramello to the newly created position of Vice President of Public Relations and Frank Ciaramello as Vice President of Manufacturing. Finally, the board approved a motion to transition the company's corporate headquarters from Houston, Texas to Clearwater, Florida.

(II) ("Interlabs"), a Nevada corporation pursuant to a stock purchase agreement. The shares of the Company's common stock were issued pursuant to an exemption from registration under the Securities Act of 1933, as amended (the "Securities Act"). As a result, all of the shares of the Company's common stock issued in connection with the purchase are subject to restrictions on transfer under applicable provisions of the securities laws and carry a legend reflecting such restrictions.
As a result of this transaction, Mr. Quenneville owns approximately sixty-five percent (65%) of all the outstanding shares of the Company.
