How does Qualystem(tm) UbiBoot position vs Microsoft® SysPrep tool?

Both tools are system preparation tools. With Qualystem(tm) UbiBoot you do not need to actually prepare the system, you just let Windows 2000/XP learn to detect and use the hardware.
