While companies like BizFilings make it easy for small businesses to avoid legal fees by incorporating their businesses online, few business owners realize the work required to keep their corporation in good standing once the corporation is created. Corporations are required to follow certain formalities in order to keep the corporate entity alive. These formalities include creating bylaws and properly documenting a variety of shareholder and director meetings. The importance of undertaking these formalities properly cannot be understated. States impose penalties and companies can lose their corporate status if the ongoing requirements of operating a corporation aren’t met.
