I don’t want a lawyer to tell me what I cannot do. I hire him to tell me how to do what I want to do
New York, NY (PRWEB) February 1, 2006
The Law Firm of Steven J. Mandel, P.C. is founded upon the philosophy of J.P. Morgan: “I don’t want a lawyer to tell me what I cannot do. I hire him to tell me how to do what I want to do”. They provide the sound, practical, no nonsense advice that is necessary to thrive in the highly competitive New York market. Their dedication and creativity helps businesses succeed and achieve their goals.
The new website provides everything necessary about how to best establish a business entity, anticipate and ultimately resolve breach of contract disputes, partnership conflicts, etc., and virtually handle every type of legal situation in which a business may find itself involved.
Steven J. Mandel, besides being a prominent attorney for more than twenty-five years, is also a successful entrepreneur and business owner himself. Because of this unique blend of experience, Mr. Mandel is very proactive in assisting his business clients in resolving “situations” before they become “problems”. However, if that fails and a commercial transaction becomes a commercial dispute, this website will explain can be done to maximize the chances of success.
In the Beginning . . .
The first decision a business needs to make is what form it should take. Should it be a general partnership or a limited partnership? What are the advantages, and disadvantages, of a Limited Liability Corporation (LLC) as opposed to a Sub Chapter S Corporation? What are the pros, and cons, of a partnership over a corporation, and vice versa? These are some of the important initial decisions that the experienced attorneys at The Law Firm of Steven J. Mandel, P.C., can help analyze in deciding which form best suits an individual business’ needs. Once a business entity is created, The Law Firm of Steven J. Mandel, P.C. can help develop an effective Human Resource program; spell out the requirements of the Americans with Disabilities Act; and institute procedures to protect the business from Sexual Harassment claims. After this groundwork is thoroughly prepared, it’s time to do business. Leases must be negotiated; Employment Agreements must be prepared; Contracts need to be drafted; Government Regulations need to be complied with. There is no better place to turn to than the experienced attorneys at The Law Firm of Steven J. Mandel, P.C.
And, In the End . . .
Everything must end. Sometimes the ending is amicable. Sometimes the ending is contentious. And, sometimes the ending is unexpected. This is a story about childhood friends, Bill & Bob who started a small import company straight out of college. Everything, personally and professionally, was wonderful between them. They never had an argument, or in their minds, the need to have anything in writing. So, they never met with an attorney. Their business and friendship thrived over thirty years. Until, one day, when Bill was just 53 years of age, he died of an unexpected heart attack. These lifelong friends always assumed that if something would happen to one of them, then that partner’s wife would become the owner of one-half of this now extremely lucrative business. Unfortunately, Bill died without a Last Will & Testament, leaving a “second wife” and two children from his “first marriage”, all of whom despised one another. The “second wife” and children each made a claim to Bill’s interest in the business in the Surrogate’s Court. Since there could not be an agreement between these parties, the business was forced to close, much to the dismay of Bob. This catastrophe could have been avoided if Bill and Bob had had a simple partnership agreement. Each partners’ interest in the business could have been secured with appropriate life insurance, thereby protecting all members of their respective families, and securing the continuation of the business in the event of the death of one of the partners. Just because Bill & Bob, lifelong “best friends” and successful business partners didn’t consult with an attorney, a successful business was forced to close and 25 devoted employees lost their jobs. This unfortunate chain events could have, and quite frankly should have, been avoided.
When all else fails...
The Law Firm of Steven J. Mandel, P.C. believes that it is their primary responsibility to “keep” their clients out of trouble in the first place, rather than to “get” their clients out of trouble. However, the unfortunate reality is that commercial transactions sometimes become commercial disputes and these disputes can turn into commercial litigation.
“I strongly believe that in contested litigation you should work toward peace while preparing for war. I cannot begin to tell you how many cases over the years my clients won, simply because we worked harder and were more prepared than the other side.” -- Steven J. Mandel
The Law Firm of Steven J. Mandel, P.C. has experienced, knowledgeable, dedicated attorneys who truly care about their clients’ needs and who will do everything in their power, and in the law, to achieve their clients’ goals.
