Everything must end. Sometimes the ending is amicable. Sometimes the ending is contentious. And, sometimes the ending is unexpected. This is a story about childhood friends, Bill & Bob who started a small import company straight out of college. Everything, personally and professionally, was wonderful between them. They never had an argument, or in their minds, the need to have anything in writing. So, they never met with an attorney. Their business and friendship thrived over thirty years. Until, one day, when Bill was just 53 years of age, he died of an unexpected heart attack. These lifelong friends always assumed that if something would happen to one of them, then that partner’s wife would become the owner of one-half of this now extremely lucrative business. Unfortunately, Bill died without a Last Will & Testament, leaving a “second wife” and two children from his “first marriage”, all of whom despised one another. The “second wife” and children each made a claim to Bill’s interest in the business in the Surrogate’s Court. Since there could not be an agreement between these parties, the business was forced to close, much to the dismay of Bob. This catastrophe could have been avoided if Bill and Bob had had a simple partnership agreement. Each partners’ interest in the business could have been secured with appropriate life insurance, thereby protecting all members of their respective families, and securing the continuation of the business in the event of the death of one of the partners. Just because Bill & Bob, lifelong “best friends” and successful business partners didn’t consult with an attorney, a successful business was forced to close and 25 devoted employees lost their jobs. This unfortunate chain events could have, and quite frankly should have, been avoided.

When all else fails...
