"If an LLC slips out if compliance in any state," said Clinton, "it becomes delinquent. And when delinquent, it no longer affords liability protection."

"Lenders require that LLC's be in continual compliance as a condition of financing," he continued. "A delinquency not only jeopardizes the continuation of financing and opens up the possibility of a default, but increases the risks associated with investing alongside up to 34 perfect strangers."

"But attorney fees add up quickly," noted Clinton, "and so does the overhead of an office staff." These factors illustrate why the outsourcing of compliance services makes the most economic sense, according to Clinton, adding the caveat that the provider of those services must have a track record and demonstrable capabilities.
