The number of shares to be offered and the price range for the offering have not yet been determined.

Piper Jaffray & Co. and SunTrust Robinson Humphrey, Inc. will be acting as joint book-running managers for the offering. William Blair & Company, L.L.C., FBR Capital Markets & Co., Keefe, Bruyette & Woods, Inc. and Macquarie Capital (USA) Inc. will be acting as co-managers for the offering.
