International law firm Greenberg Traurig represented Metropolitan Health Networks (“Metropolitan”) and its shareholders, in connection with its definitive agreement to be acquired by Humana Inc. (“Humana”). Valued at $850 million plus transaction costs, the acquisition was announced today and is expected to close by the end of the first quarter of 2013. It will be financed by Humana with a combination of cash and debt, and Metropolitan stockholders will receive $11.25 per share in cash from Humana for each Metropolitan share.

Headquartered in Boca Raton, Fla., Metropolitan is a health care company that provides and coordinates comprehensive health care services for approximately 85,500 Medicare Advantage, Medicaid, and other beneficiaries, primarily in Florida utilizing a primary care-centric business model. It’s acquisition by Humana is a first step in Humana’s vision of expansion of its capabilities for its members.
