A securities class action alleging violations of the anti-fraud provisions of the federal securities laws on behalf of the Neptune common stockholders has been filed in the United States District Court for the Southern District of New York (Case No. 2012-CV-09272). No class has been certified in the above action. Purchasers of the Neptune common stock during the Class Period between December 12, 2011 to November 8, 2012, may move the Court, no later than February 18, 2013, to serve as Lead Plaintiff; however, certain legal requirements must be met. To be a member of the class, no action need be taken at this time; shareholders may retain counsel of their choice or take no action and remain an absent class member.
