As Dickinson Wright continues to grow in Toronto, the firm is taking on more transactions involving distressed M&A/Restructuring/Insolvency capitalizing on the firm’s cross-border expertise as a one-stop shop for companies. In the past year, Dickinson Wright has been involved in three high-profile transactions in the Canadian market.

Recently, Dickinson Wright represented BDO Canada Limited, the court-appointed receiver of Combat Sports Inc., in its sale of all of the sports-related assets and intellectual property of Combat Sports in both Canada and the U.S. to Bauer Performance Sports Ltd. Bauer is a leading developer and manufacturer of ice hockey, roller hockey and lacrosse equipment and apparel. Through this transaction, Bauer is able to strengthen its hold in the hockey equipment segment and expand its market share in the baseball and softball markets.

Dickinson Wright’s team of cross-border lawyers was able to close the transaction expeditiously by addressing and solving all complex deal matters both in the U.S. and Canada. The other two transactions involved Wholesome Food Inc., a large Asian food conglomerate, and its Canadian affiliates, Hi-Flyer Food (Canada) Inc. and Olympus Food (Canada) Inc. Dickinson Wright represented the companies in acquiring from Duff & Phelps, the court-appointed receiver, over 120 quick-serve restaurants (QSRs) within the family of the world’s largest restaurant operator, Yum! Brands. Hi-Flyer acquired 57 QSRs in the provinces of Alberta and Manitoba while Olympus acquired 65 QSRs in the province of Quebec.

Wholesome Foods is a part of the Ramcar Food Group of companies. As the sole franchisee of KFC and other brands in the Philippines, the Ramcar Food Group is one of the Philippines’ largest operators of QSRs – operating over 1,650 QSRs in the country.
