The international law firm of Greenberg Traurig P.A. announced that Kara L. MacCullough and Jennifer D. Westerlund have joined the firm as shareholders in its Fort Lauderdale office, further expanding the firm’s Corporate and Securities Practice in South Florida. MacCullough was formerly with Holland & Knight in Miami and Fort Lauderdale, while Westerlund was formerly with Becker & Poliakoff in Fort Lauderdale.

While at her previous firm, MacCullough was selected in the 2011 “Top Dealmakers of the Year” by the Daily Business Review for the $4.3 billion sale of Burger King to 3G Capital, converting the international fast-food chain to a privately owned firm. In addition to Burger King, she lists Ryder Systems Inc. and SBA Communications Corporation, among others, as her clients. MacCullough was listed in the 2009-2010 editions of Chambers & Partners USA Guide, an annual listing of the leading business lawyers and law firms in the world, for Corporate M&A and Private equity work.

“Kara has handled notable deals for various public clients based in South Florida with business locally and abroad,” said Bruce March, chair of the Fort Lauderdale Corporate Practice. “Her experience in securities offerings and corporate finance transactions will expand our practice and help meet our clients’ needs.”

MacCullough advises public and private companies on corporate and securities law issues surrounding corporate finance transactions and mergers and acquisitions, including private and public securities offerings, exchange/tender offers, asset and stock purchases and other commercial transactions in the United States and abroad. She has served as issuer's counsel in connection with over $5 billion in equity and debt offerings and debt tender offers by public companies in the past three years. MacCullough also counsels public companies on corporate governance, executive compensation, director responsibilities and fiduciary duties.

Westerlund recently represented APR Energy in connection with a $250 million strategic investment by private equity funds managed by George Soros and Madeleine Albright. Her practice focuses on corporate advisory and transactional work for middle-market established companies nationally and internationally. Her clients also include foreign companies establishing a presence in the U.S., entrepreneurs and start-ups. Westerlund currently acts as outside general counsel and advises on strategic transactions to clients in a variety of industries and sectors including healthcare, energy, technology, insurance, and logistics services. Her previous experience includes practicing in the Legal and Compliance Department of Paine Webber in New York and London and at Sidley Austin, LLP in London.

MacCullough received her J.D., magna cum laude, from University of Miami School of Law and her B.A., cum laude, from Wellesley College. Westerlund received her J.D. from American University, Washington College of Law and her B.A. from Boston University.
