OVERVIEW

With the stock market hitting record highs and confidence growing in the US economy, deal making has accelerated dramatically. Worldwide M&A was up 10% in the first quarter of 2013 over the same period on 2012, to $543 billion.

Although cross-border and emerging markets deals were down in the first quarter, private-equity-backed deal volumes doubled over the same period in 2012 and deals valued over $5 billion rose by an astounding 63%.

This series of large mergers has unleashed a spirit of optimism about the prospects for M&A over the remainder of the year, as cash rich companies seek out quality assets, and this optimism crosses sector and size of company. The hottest sectors over the quarter were energy & power, hi-tech and real estate.

This webcast will explore the effect these trends will have on the market as a whole. Will the same sectors dominate deal volumes over the rest of the year? Will large transactions continue to buoy the market? Will emerging markets deal-making revive? Will the bond rally end, leading to fewer leveraged buyouts?

Kenneth R. Meyers:

Kenneth R. Meyers is the Vice President of Mergers & Acquisitions at Siemens Corporation, and has responsibility for coordinating and executing mergers, acquisitions and other strategic transactions for Siemens’ operating companies in the Americas. Prior to becoming Vice President of Mergers & Acquisitions in 2006, Ken was Associate General Counsel, Mergers & Acquisitions for Siemens Corporation. During Ken’s twenty years at Siemens, he has worked on numerous transactions, including the acquisitions of Dade Behring Holdings, Inc., UGS Corp., Diagnostic Products Corporation, CTI Molecular Imaging, Inc., USFilter Corporation and Shared Medical Systems, Inc., and the divestiture of Unisphere Networks, Inc. Before joining Siemens in 1993, Ken practiced corporate and securities law in New York City at Weil Gotshal & Manges and Rogers & Wells. Ken has an MBA and a JD from Vanderbilt University, and has undergraduate degrees in history and economics from the University of Pennsylvania.

Chris Ruggeri:

Chris Ruggeri is a Principal in the Advisory Group of Deloitte Financial Advisory Services LLP and serves as the US M&A leader for Deloitte FAS. With over 20 years of experience, Chris advises clients on buy and sell-side mergers and acquisitions, joint ventures and divestitures. Chris assists clients understand the value of business enterprises and associated key value drivers and risk factors. She also consults with clients on how to enhance corporate development effectiveness through organizational design, process excellence, tools and technologies and leading edge methodologies. Chris leads Deloitte’s initiative on trends in M&A and corporate development effectiveness.

Prior to joining Deloitte FAS, Chris was a Managing Director at Standard & Poor’s and a Principal in the Financial Advisory Services group of a Big 4 firm. Chris started her career as an associate at the NASD (now FINRA). Chris was based in Budapest, Hungary in 1990-1991 where she advised international investors on investments in Central and Eastern Europe and Russia. Chris serves on the Board of the Citizens Committee for New York City.

Denise Bedell (Moderator):

Denise Bedell is the managing editor of Global Finance magazine, based in New York. She has been writing about business and finance for 15 years, and is the author of Successful Exit Strategies For The Insurance Industry—a seminal guide for insurers and reinsurers looking to exit a line of business. During her nine years as a freelance journalist, Ms. Bedell worked for various publications including Euromoney, International Financial Review, Treasury & Risk, Treasury Today, Project Finance, FX-MM, International Securitisation Report and International Treasurer.
