Long-time Kohner, Mann & Kailas, S.C. lead counsel to new and emerging businesses, Alexander “Sandie” Pendleton, joined leading Midwestern representatives of the investment and regulatory communities on a high-profile panel designed to provide investors in, and managers of, high-growth and emerging companies with practical insights into what the federal Jumpstart Our Business Startups (JOBS) Act actually means for them. The event was held July 12, 2012 at the Crowne Plaza Hotel located in Wauwatosa, Wisconsin.
Organized by the Wisconsin Technology Council—the independent, non-profit science and technology adviser to the governor and the Legislature—and the Wisconsin Innovation Network, the remainder of the panel was made up of senior representatives from the securities regulation and early-stage investment communities.
The Act addresses securities regulation of “emerging growth companies” and is aimed at reducing the regulatory burdens on qualifying businesses. Additionally, the Act is intended to make it easier for small businesses to raise equity, one high-profile example being a regulatory structure for approved “crowdfunding” via the internet. However, many of the provisions trigger significant regulatory compliance obligations and questions remain about how viable some of the touted benefits—including crowdfunding—will be in practice.
