Greenberg Traurig Team Assists Platform Acquisition Holdings Limited, Founders in $1.8B M&A
New York (PRWEB) October 11, 2013 -- A multi-office, multi-practice team at international law firm Greenberg Traurig, LLP represented Platform Acquisition Holdings Limited and founders, Martin Franklin and Nicolas Berggruen, on the $1.8 billion deal to acquire MacDermid, Incorporated, a privately-held specialty chemicals company. This acquisition, which is expected to close by the end of October, marks the first step for Franklin in building a portfolio of chemicals businesses. The company, which will now be renamed Platform Specialty Products Corporation, expects to be listed on the New York Stock Exchange before the end of the year.
The Greenberg Traurig effort was led by Donn A. Beloff (Shareholder-Ft. Lauderdale-Corporate/M&A) and Alan I. Annex (Shareholder-New York-Corporate/M&A and chair of the New York Corporate & Securities practice). Annex and Beloff, along with Bruce March (Shareholder-Ft. Lauderdale-Corporate/M&A) have served as key advisers to Franklin and the Platform ownership team at all stages of this process. The Greenberg Traurig team helped Platform to raise $905 million in May through an initial public offering on the London Stock Exchange. Proceeds from that offering were designed to fund acquisitions like MacDermid. One of the unique features of this deal involved the establishment of a multi-tiered structure that allowed existing management at MacDermid to rollover their interest into the new company.
