Delaware Court of Chancery Finds "Striking Evidence of Bad Faith on the Part of ECi"

These proceedings have provided a newfound appreciation for the power of good partnering and an understanding that no word on a page can ever replace the spirit of an agreement and a good old-fashioned handshake.

MWA Intelligence (MWAi), a SAP Gold Partner and leader in enterprise-class Machine to Machine (M2M) and Machine to People (M2P) solutions is pleased to announce today that it has been awarded a six-figure damages judgment by the Delaware Court of Chancery in a long and hard fought litigation with eCommerce Industries, Inc. (ECi) on MWAi‘s breach of contract claim against OMD and La Crosse, and on MWAi‘s tortious interference with contract and tortious interference with prospective economic advantage claims against ECI and Digital Gateway, Inc. (DGI).

The Delaware Court of Chancery stated that the effect of ECi’s behavior was "to deprive MWA of the business that it anticipated from its exclusive licensing agreement… and that the most striking evidence of bad faith on the part of the ECI parties originated from the principals of ECI and DGI.” The complete court’s opinion and ruling on the case (Court of Chancery of the state of Delaware: C.A. No. 7471-VCP) can be viewed at http://courts.delaware.gov/opinions/download.aspx?ID=195750.

“Companies are not just machines and software. They are people. We must be able to trust not only their products, but also trust their people to do business with them,” said Michael T. Stramaglio, president and CEO of MWA Intelligence. “These proceedings have provided a newfound appreciation for the power of good partnering and an understanding that no word on a page can ever replace the spirit of an agreement and a good old-fashioned handshake. Our industry looks forward, not backward to outdated technology and business methods.”
