The Alliance of Merger & Acquisition Advisors® (AM&AA), the leading association and credentialing body for middle market M&A professionals, in partnership with Bureau van Dijk and Merrill DataSite, have announced five finalists for the fifth annual Middle Market Thought Leader Award. This prestigious award honors individuals who have made a meaningful contribution to middle market M&A during the past year.

“All the nominees have made astounding contributions to the middle market M&A industry throughout the year, which is what makes picking a winner so difficult. The high caliber of nominees challenged us to dig deep into some of the finest work and research the middle market M&A industry has to offer,” says Michael Nall, Founder of the Alliance of Merger & Acquisition Advisors. “The nominees should all truly be lauded for their positive contributions to our burgeoning market.”

The nominees are as follows:

Andrew T. Greenberg, CEO of GF Data Resources, LLC, for bringing factual data and relevant thinking to the lower middle market. Greenberg has taken a large pool of data collected from private equity sponsors and synthesized it into reports and commentaries that are unique and insightful. What’s more, the data is accurate and reliable, not an easy feat in the lower middle market where lots of financial data remains undisclosed. There is no other source for detailed valuation multiples, leverage multiples and pricing, capital structure dynamics, and key deal terms broken out by industry category.

Jerry L. Mills, Founder of B2B CFO and B2B Exit, has written a book, The Exit Strategy Handbook, to help better prepare business owners who are exiting their businesses. Mills’ value creation knowledge, upon which his company is founded, is incorporated throughout the book. Mills’ book has significant relevance today as the U.S. braces for scores of Baby Boomers looking for meaningful exits for businesses they created. The bottom line is the “The Exit Strategy Handbook” helps demystify the sales process while helping sellers garner top dollar for their businesses.

Chuck Richards, Founder of CoreValue Software, has written a whitepaper titled: “Quantifying Transferable Enterprise Value in SMEs: The Value Driver Methodology,” which lays out his approach to assessing current and future company enterprise value based on data and proprietary algorithms. This whitepaper outlines a new framework and methodology to quantify transferable enterprise value in SMEs. The Value Driver Methodology not only provides an objective assessment of a company’s transferable enterprise value consistent with the output of financial valuation methodologies, but this methodology also quantifies the individual drivers of value.

Randy Schwartzman, Regional Managing Partner, Eric Mauner, CPA, Tax Senior Manager and Patricia Brandstetter, Tax Senior Associate of BDO USA, LLP have written a whitepaper titled: New Deemed Asset Sale Structuring Alternatives under Section 336(e). The whitepaper explains the new regulations that allow tax professionals to elect to treat a stock sale as an asset sale, thus achieving a stepped-up cost basis in the underlying assets despite having a non-corporate acquirer purchase the target company. The new Section 336(e) regulations are a welcome addition to the M&A tax practitioner as they provide a new avenue to narrow the gap between a buyer and a seller for those transactions that do not otherwise meet the stringent requirements of Section 338(h)(10).

Peter R. Worrell, Founder of Bigelow LLC, has written a book titled, Enterprise Value: How the Best Owner-Managers Build Their Fortune, Capture Their Company's Gains, and Create Their Legacy. Worrell lays out a road map for entrepreneurs/owners to successfully navigate toward building lasting value in their businesses. He takes the unique perspective of focusing on both the psychology and financials of the deal as they relate to private company transactions.

The 2013 Middle Market Thought Leader of the Year will be selected from these finalists and announced at a luncheon on Wednesday, January 22, 2014, during the AM&AA Winter Conference in Scottsdale, Arizona, January 21-23, 2014.
