Bluerock Residential Growth REIT (BRG) Prices Public Offering of Class A Common Stock

Bluerock Residential Growth REIT, Inc. (NYSE MKT: BRG) (the “Company”) today announced the pricing of its underwritten public offering of 4,000,000 shares of Class A common stock, at a price to the public of $12.50 per share, for net proceeds of approximately $46.6 million after deducting underwriting discounts, commissions, fees and estimated offering expenses payable by the Company.

The offering is expected to close on or about January 20, 2015, subject to the satisfaction of customary closing conditions. The Company has granted the underwriters a 30-day option to purchase up to 600,000 additional shares to cover overallotments, if any.

The Company intends to use the net proceeds of the offering to invest in multifamily assets and for other general corporate and working capital purposes, which may include the funding of capital improvements at the Company’s properties.

Wunderlich Securities and Compass Point are serving as joint book-running managers for the offering. D.A. Davidson & Co., Janney Montgomery Scott, and BB&T Capital Markets are serving as co-lead managers for the offering, and Boenning & Scattergood, Inc. and National Securities Corporation, a wholly owned subsidiary of National Holdings, Inc. (OTCBB:NHLD), are serving as co-managers for the offering.
