The matters on which Discovia has been retained involve pending M&A transactions in the airline, gaming, and healthcare industries, respectively.

The Hart-Scott-Rodino Antitrust Improvements Act of 1976 provides that parties must not complete certain mergers, acquisitions or transfers of securities or assets until they have made a detailed filing with the U.S. Federal Trade Commission and Department of Justice and waited for those agencies to determine that the transaction will not adversely affect U.S. commerce under the antitrust laws. Parties may carry out due diligence and plan for post-merger integration, but they may not take any steps to integrate operations, such as an acquiring party obtaining operational control of the acquired party. For many proposed transactions, the FTC or DOJ request additional documents and information - the "2nd request" - to supplement the parties' initial filings.

Most 2nd request projects involve large volumes of data that must be collected, processed, reviewed and produced to the requesting government agency in a very short period of time. Parties involved in a proposed merger or acquisition are under great pressure to satisfy the requirements of the investigating agency to expedite the closing of the transaction. Delays in government approval can cost parties millions of dollars per day in lost revenue and cost reductions.
