Discovia, a leading global provider of eDiscovery services to corporations, law firms and government entities, announced that it has been selected by corporations and their outside law firms to provide discovery services in three substantial Hart-Scott-Rodino (HSR) 2nd Request projects in the past 90 days. The matters on which Discovia has been retained involve pending M&A transactions in the airline, gaming, and healthcare industries, respectively.
The Hart-Scott-Rodino Antitrust Improvements Act of 1976 provides that parties must not complete certain mergers, acquisitions or transfers of securities or assets until they have made a detailed filing with the U.S. Federal Trade Commission and Department of Justice and waited for those agencies to determine that the transaction will not adversely affect U.S. commerce under the antitrust laws. Parties may carry out due diligence and plan for post-merger integration, but they may not take any steps to integrate operations, such as an acquiring party obtaining operational control of the acquired party. For many proposed transactions, the FTC or DOJ request additional documents and information - the "2nd request" - to supplement the parties' initial filings.
Most 2nd request projects involve large volumes of data that must be collected, processed, reviewed and produced to the requesting government agency in a very short period of time. Parties involved in a proposed merger or acquisition are under great pressure to satisfy the requirements of the investigating agency to expedite the closing of the transaction. Delays in government approval can cost parties millions of dollars per day in lost revenue and cost reductions.
Discovia’s operations team is battle-tested to manage large volumes of data under intense deadlines. The company specializes in internal and government investigations such as HSR 2nd Requests and International Trade Commission (ITC) inquiries, as well as all types of complex litigation.
“Discovia has invested heavily in technology infrastructure, data security, operational scale, process automation, and experienced professionals to help us meet the high standards of our corporate and law firm clients. In recent HSR 2nd Request matters we effectively utilized advanced analytics and predictive coding tools to help our clients materially reduce cost and time to completion. When it comes to working on internal and government investigations, our business is all about accuracy, speed, and trust,” said Christian Lawrence, Discovia’s CEO.
“We’ve built a project management team that is second to none, one which has tremendous experience managing large, complex projects,” added Talin Andonians, Discovia’s COO. “We have also completed extensive automation of our operation to enable fewer people to get more work done faster, without any sacrifice in quality. It’s a winning combination which has led to our clients gaining great confidence in our ability to support them in the most challenging situations.”
