Pricing of €650 million Senior Secured Floating Notes due 2028
Cedacri Mergeco S.p.A. (the "Issuer") has priced today €650.0 million aggregate principal amount of senior secured floating notes due 2028 (the "Notes") at an issue price of 100% (the "Offering"). The Notes will bear interest on the outstanding principal amount at the rate of EURIBOR (with a 0.0% floor) plus 4.625% per annum. The Notes are expected to be issued on May 28, 2021 (the "Issue Date"). The proceeds from the Offering will be used to finance the acquisition of Cedacri S.p.A (including refinancing of existing debt), and pay transaction fees and expenses associated with the Offering.
