SEC-compliant, asset-class tokens, like the ones offered by Gramarye, are much like stock in that they provide purchasers dividends from a company’s profits and should increase in value on the open market. However, tokens can often be more easily traded on marketplaces. Since the tokens are purchased with a discount, they can usually be sold on exchanges for a significant return after as little as one year.

Most of the 175 million tokens to be released will be available only to accredited investors, but thanks to the Invest Georgia Exemption (IGE), 5 million of the tokens will be available to all Georgians. Under the IGE, unaccredited investors who reside in the state of Georgia can invest up to $10,000 in Georgia-based companies.

Gramarye also plans to use proceeds from the ICO to help fund other Georgia entertainment entities, including Picture it Productions, a successful television production company, and RoadShow Equity Partners, a fund investing in Georgia-based independent films, and others. “It’s not just a Gramarye token,” Adcox said. “It’s a token allowing investors to participate in an entire ecosystem of overlapping partner companies. That helps to both diversify the investment and to increase the possible returns significantly.”

Gramarye’s ICO will be the largest in Georgia and one of the largest in the United States.

Lumiere — Initial Coin Offering Exclusive Prerelease to GA Residents
Gramarye Media is the first major studio on the east coast to be funded by an Initial Coin Offering (ICO), coupled with traditional investment funding. This ICO is a fully-compliant security, offered with the assumption that the tokens will increase in value and earn dividends as well as grant other privileges to investors.

Proceeds from the sale of Lumiere tokens — named for brothers Auguste and Louis Lumiere, creators of the cinematography, the original “moving pictures” technology — will be used to fund the operations of Gramarye Media, as well as its partner organizations including Picture It Productions, Creative Media Industries Institute at Georgia State, The Story Plant, RoadShow Equity Partners, and others.

Under the Invest Georgia Exemption (IGE), Gramarye Media will issue a pre-ICO round of token sales to Georgia residents, which allows non-accredited Georgia investors to purchase up to $10,000 in securities. There is no limit for accredited Georgia investors. Tokens will be offered immediately to Georgia investors under a simple convertible note at a discount of 30 percent, with the target cap of $5 million. The actual tokens will be delivered in July 2018.
