Global law firm Greenberg Traurig, LLP received an award at Global M&A Network’s 10th Annual Americas M&A Atlas Awards, Nov. 29, 2018, in New York. According to the Global M&A Network website, the Awards honor best value-creating deals, outstanding firms, top dealmakers, and legendary leaders from the North and South Americas corporate, alternative investor, and transactional communities for successfully closing deals.
The firm received the “Distressed M&A Deal of the Year (Small Cap)” award for its role in the sale of assets of Nighthawk Energy to Morse Energy Capital Partners.
The Greenberg Traurig team represented Nighthawk Energy entities as U.S. corporate and bankruptcy counsel and UK securities counsel in their Chapter 11 cases pending in the District of Delaware. Parent Nighthawk Energy PLC, a company incorporated in England and Wales which was listed on AIM (a market operated by the London Stock Exchange) until its listing was cancelled, and three U.S. subsidiaries are engaged directly and indirectly in oil and gas exploration activities in Colorado. After a series of nine amendments to a credit agreement with the senior secured lender, an Australian financial institution, the Nighthawk companies elected to pursue a sale or restructuring through Chapter 11 filings in Delaware, accompanied by an ancillary cross-border filing for Nighthawk Energy PLC, obtaining recognition and relief in the High Court of Justice in London.
