Holland & Hart Welcomes Corporate Attorney Gian Brown
Las Vegas, Nevada (PRWEB) November 13, 2013 -- Holland & Hart LLP is pleased to announce the addition of Gian Brown to the firm’s Business, Corporate, and Finance practices. Brown is based out of the firm’s Las Vegas office.
Brown has nearly 20 years of experience counseling clients on a wide range of business and transactional matters. He assists clients of different sizes and maturity across a diversity of industries. His experience spans the entire business lifecycle, from entity formation and early- and mid-stage financing, to commercial contracts and the structuring of strategic agreements, to navigation of exit events such as acquisitions and public offerings.
Brown regularly advises clients on matters related to investments, acquisitions and divestitures. This includes support regarding assessment, valuation, negotiation, due diligence and integration/disentanglement. He assists clients with financing matters, with an emphasis on private placements and securities laws compliance. Brown also has extensive experience drafting and negotiating a variety of contracts, including vendor and supplier agreements, licensing and sale of intellectual property assets, business transactions, strategic alliances and joint ventures.
Prior to joining Holland & Hart, Brown worked in the corporate departments of two international law firms, where he handled mergers and acquisitions, divestitures, strategic investments, joint ventures and venture capital matters. He was also in-house counsel at a publicly-traded company and was a member of its corporate development team.
He is admitted to practice in Nevada and New York.
Brown holds a J.D. from Fordham University School of Law and a B.A. from New York University.
