The plan was approved by management to spin-off of the company’s electronics and materiel procurement business to Perago Procurement Specialists, LLC. The separation is planned as transfer of all non-medical staffing related operations to Perago Procurement Specialists, LLC while Perago Contract Specialists, LLC shall maintain and grow operations relating to medical provider staffing, centered around the Department of Veterans Affairs. The legal formalization of Perago Procurement Specialists, LLC was completed on July 16th, 2018; partnerships and distribution agreements are currently being transferred.
The spin-off results in two separate privately held companies which will benefit from leading positions in their respective industries, strong cash flow generation, and compelling growth opportunities. Following the finalization of partnership transfer, each company will have distinct corporate strategies and capital allocation priorities:
Perago Contract Specialists, LLC portfolio of business will be comprised primarily of its operations with various branches of the US Federal Government, centering around providing medical personnel to the Department of Veterans Affairs.
The spin-off, Perago Procurement Specialists, LLC will be a growth-oriented company that is focused on electronics and materiel procurement related products and services. Perago Procurement Specialists, LLC maintains partnerships with global IT companies, injection molding and custom hard-case manufacturers, paper product distribution centers, and a robotics company which developed an exoskeleton that allows persons with Spinal Cord Injuries to walk without a wheelchair. Perago Procurement Specialists, LLC is also formed as a both a Minority Owned Small Business as well as a Service Disabled Veteran Owned Small Business and will have the balance sheet strength and capital allocation flexibility to pursue growth through partnership acquisitions and exclusive SDVOSB distributorships, providing the Federal Government with access to innovative products at reduced cost.
