SunDoc Filings Issues Advisory to Customers Regarding California’s New Limited Liability Company Forms

SunDoc is strongly advising its customers to switch to the newly issued forms in place of older versions for any pending business filings.
“Using the new forms will reduce the risk that your filing might be rejected,” says Stan Huser, President of Sun Doc Filings. “While the older forms will still be accepted, they are no longer available on the state’s website.”
The California Secretary of State’s office recently issued new versions of forms LLC-1, LLC-12, LLC-3, LLC-4/7 and LLC-4/8. These forms cover the formation of a new LLC within California, the biennial Statement of Information that LLCs are required to file with the state, and multiple forms used to dissolve or cancel an existing LLC.
Huser says that the new forms introduce some important changes to California’s required LLC filings. For example, when filing their biennial Statement of Information, companies whose information has not changed since their last report must now use a separate Form LLC-12NC. In the past, companies would use the standard Form LLC-12, and mark an option indicating no changes in their company information.
A Limited Liability Company is a popular business structure that provides many of the same liability protections enjoyed by corporations, while allowing for greater operating flexibility and simpler tax filings. To form, operate or dissolve a California LLC, companies must file certain forms with the Secretary of State’s office.
